OTCPD Supplier Terms and Conditions

Applicable to all OTCPD Workshop Events

1. Parties

These Terms and Conditions apply between:

JAW Healthcare Limited, trading as OTCPD
(Company Number: 15518813)
(“the Organiser” / “OTCPD”)

and

The organisation or individual booking to participate as a Supplier
(“the Supplier”).

2. Definitions

  • “Event” means any OTCPD in-person workshop delivered in the UK, including but not limited to North West, Midlands, South East, South West, Hertfordshire, Essex and Scotland.
     
  • “Supplier” means any organisation providing products, services or demonstrations as part of an OTCPD workshop.
     
  • “Participation” means attendance, demonstration, training delivery and engagement as agreed with OTCPD.
     

3. Contract Formation

  1. A binding contract is formed when:
     
    • the Supplier submits a booking or application, and
       
    • OTCPD confirms acceptance in writing and/or issues an invoice.
       

  1. These Terms and Conditions apply to all Supplier participation and supersede any previous terms, discussions or representations.
     

4. Nature of OTCPD Events

  1. OTCPD events are education-led CPD workshops, not exhibitions or trade shows.
     
  2. OTCPD does not sell: exhibition stands, space by square metre, shell schemes, shelving, electrics, group stands
     
  3. Suppliers participate as contributors to professional learning, demonstrating how products or services support occupational therapy practice.
     
  4. Direct sales activity, aggressive lead capture or transactional selling during Events is not permitted.
  5. Delegate information including name and place of work will be shared but not contact info such as email addresses to comply with the Data Protection.
  6. It is the responsibility of the Supplier to data capture prior to and at the event where possible.
     

5. Supplier Responsibilities

  1. Suppliers must:
     
    • provide knowledgeable, appropriately trained representatives
       
    • deliver demonstrations aligned with OTCPD workshop themes
       
    • engage professionally with delegates
       

  1. Suppliers are responsible for ensuring all products demonstrated are:
     
    • safe
       
    • fit for purpose
       
    • compliant with relevant regulations and standards
       

  1. Suppliers must comply with all venue rules, health & safety guidance and instructions issued by OTCPD.
     

6. Event Set-Up, Layout & Show Flow

  1. OTCPD determines:
     
    • room layout
       
    • session flow
       
    • positioning of Suppliers
       
    • timing and rotation of workshops
       

  1. Suppliers will be allocated a practical demonstration area appropriate to the workshop format.
     
  2. Suppliers are responsible for bringing any required demonstration equipment, samples or materials.
     
  3. All materials must be portable, safe, and suitable for a clinical training environment.
     

7. Attendance Requirements

  1. Suppliers must:
     
    • arrive on time for briefing and set-up
       
    • remain present for the full duration of their assigned sessions
       
    • staff their participation consistently throughout the Event
       

  1. Failure to attend, late arrival, or early departure may be treated as a cancellation with no refund.
     

8. Payment Terms

  1. Fees, payment schedules and any optional packages will be detailed on the Supplier invoice.
     
  2. Invoices must be paid in full by the due date stated.
     
  3. Late payments may incur interest at 5% above the Bank of England base rate, calculated daily.
     
  4. OTCPD reserves the right to cancel Supplier participation where payment obligations are not met.
     

9. Cancellation by Supplier

  1. All cancellations must be submitted in writing to info@otcpd.co.uk.
     
  2. If a Supplier cancels their participation for any reason after the 14 day cooling off period, the following applies:
     
    • 80% of the full invoiced amount is payable as a cancellation charge.
       

  1. Cancellation charges represent a genuine pre-estimate of loss incurred by OTCPD.
     
  2. OTCPD is under no obligation to refund cancellation charges even if the vacated opportunity is resold.
     

10. Event Changes & Relocation

  1. OTCPD reserves the right to:
     
    • amend Event schedules
       
    • adjust workshop formats
       
    • change venues if required
       

  1. OTCPD may relocate an Event to an alternative venue within a 50-mile radius of the originally advertised location if operational, safety or venue circumstances require.
     
  2. Such changes do not entitle the Supplier to refunds for fees, travel, accommodation or associated costs.
     

11. Promotion & Intellectual Property

  1. OTCPD may use the Supplier’s name, logo and supplied materials for Event promotion and reporting.
     
  2. The Supplier confirms it holds all rights to any materials, branding or content provided.
  3. Sessions maybe recorded by OT CPD and we reserve the right to use any material created that may involved your company brand and product etc.
     

12. Professional Conduct

  1. Suppliers and their representatives must behave professionally and respectfully at all times.
     
  2. OTCPD reserves the right to remove any Supplier or representative whose conduct is deemed inappropriate, disruptive or detrimental to the Event.
     
  3. Removal under this clause does not entitle the Supplier to any refund.
     

13. Insurance & Indemnity

  1. Suppliers must maintain adequate insurance, including:
     
    • Public liability insurance (minimum £5 million)
       
    • Employers’ liability insurance
       
    • Insurance covering Supplier property and equipment
       

  1. Suppliers indemnify OTCPD against all claims, losses or damages arising from:
     
    • Supplier products or services
       
    • Supplier staff or representatives
       
    • Supplier equipment or demonstrations
       

14. Data Protection & GDPR

  1. OTCPD complies with the UK GDPR and Data Protection Act 2018.
     
  2. Supplier data will be processed for legitimate business purposes including:
     
    • Event administration
       
    • communications
       
    • invoicing
       
    • internal analysis
       
    • invitations to future OTCPD opportunities
       

  1. Data may be shared with third-party service providers strictly where required for Event delivery.
     
  2. Suppliers may request access, correction or deletion of personal data by contacting info@otcpd.co.uk.

15. Limitation of Liability

  1. OTCPD shall not be liable for:
     
    • loss of profit
       
    • loss of business
       
    • indirect or consequential loss
       

  1. Nothing in these Terms limits liability for death, personal injury or fraud where prohibited by law.
     

16. Termination

OTCPD may terminate Supplier participation immediately where the Supplier:

  • breaches these Terms
     
  • fails to make payment
     
  • acts in a way detrimental to the Event or OTCPD’s reputation
     

No refund will be due following termination.

17. Governing Law

These Terms and Conditions are governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction.

18. Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior discussions, representations or agreements.

Webinar Terms & Conditions

  

1. Introduction & Definitions

2. Webinar Participation Terms

1. Date and time of agreed webinar slot

2. Duration and format:

3. 5-minute OT CPD introduction

4. 40-minute supplier-led presentation

5. 15-minute live Q&A session

6. Platform to be used (e.g., Zoom, Teams, etc.)

7. Deadline for presentation topic/title confirmation

8. Deadline for submission of downloadable materials or supplementary resources


3. Recording & Distribution

1. All sessions will be recorded by OT CPD

2. Recordings will be added to the OT CPD Training Vault

3. CPD certification will be issued to attendees by OT CPD

4. OT CPD retains the right to continue promoting and distributing the recording

5. Supplier agrees to their session being used for promotional or educational purposes


4. Supplier Responsibilities

1. Ensure that all content is factually accurate and appropriate for a healthcare audience

2. Deliver content that is educational, informative, and free from offensive or misleading claims

3. Provide all presentation materials in a timely manner

4. Respect the agreed timings during the live session

5. Ensure speakers are available and prepared on the day of the event


5. Use of Logos and Branding

1. Supplier grants OT CPD permission to use their logo and product imagery in event marketing

2. OT CPD agrees to use supplier branding professionally and appropriately

3. Supplier agrees not to misuse OT CPD branding in their own marketing without permission


6. Payment Terms

1. Full payment required to confirm booking. For multiple webinars, payment due 30 days before each webinar. If booking within 30 days, payment due upon booking confirmation.

2. Non-refundable unless the event is cancelled by OT CPD

3. Payment methods and invoice procedures outlined


7. Cancellation & Rescheduling

1. Supplier cancellation policy (e.g., written notice required 30 days in advance)

2. Rescheduling subject to OT CPD availability and discretion

3. Refunds not issued for missed or late attendance

4. If OT CPD must cancel or reschedule, the supplier will be offered a new slot or full refund


8. Data Collection & GDPR

1. Supplier may collect data during their session (e.g., via polls, registration links, forms)

2. Supplier agrees to handle any collected data in accordance with GDPR and data protection laws

3. OT CPD is not liable for how the supplier uses data collected from attendees

9. Confidentiality

1. Both parties agree to maintain confidentiality of any proprietary or commercially sensitive information

10. Limitation of Liability

2. OT CPD is not responsible for any technical issues or attendee outcomes resulting from the supplier’s session

3. Supplier is responsible for ensuring the accuracy and legality of their content

11. Code of Conduct

1. All presentations must maintain a professional tone suitable for a healthcare audience

2. OT CPD reserves the right to remove or edit inappropriate content

3. Presenters must treat all attendees and hosts with respect

12. Amendments & Final Agreement

1. Any amendments to the terms must be agreed in writing

2. The agreement is binding once the slot is confirmed and payment is received

Consultancy Terms & Conditions

  

1. Introduction & Definitions

These Terms and Conditions outline the agreement between JAW Healthcare t/a OT CPD (“we”, “us”, “our”) and "you", (the client). By engaging with our services, you agree to the following terms.


2. Compensation

Agreement commences once contract has been signed.


Payment schedule: 


50% payment upon commencement of the agreement

50% final payment within 7 days of completed work being singed off


3. Rights and Ownership

  • Upon full payment, you will own all rights, titles, and interests in the case studies.
  • We retains the right to showcase the work in our portfolio, with your prior approval.
  • Upon Completion and full payment you will own the intellectual property and rights to the document.
  • Any promotional sharing of the document post creation and payment beyond this agreement, will be approved and under your discretion.
  • OT CPD logo branding on documentation is to show the endorsement of the document and doesn’t provide you rights to use the Logo anywhere other than to promote the documents endorsement as produced by JAW Healthcare. If you would like to use the OT-CPD logo in other materials other than the document this must be approved by us.
  • JAW Healthcare LTD owns the rights to all OT-CPD branding.



4. Confidentiality

We agree to keep all proprietary information that you provide confidential and will not disclose it to any third party without your prior consent.


5. Termination

Either party may terminate this agreement with 7 days notice in writing, if either party breaches any terms outlined herein. Upon termination or cancellation, your initial payment will be forfeited to cover the cost of works completed up to the date of termination, however we reserve the right to request payment for any additional costs over and above that which was covered by the initial payment. All outstanding invoices must be settled in full within 7 days of termination of agreement.


6. Governing Law

This agreement will be governed by and construed in accordance with the laws of England and Wales



OT CPD Training Vault Term & Conditions

  

1. Introduction & Definitions

These Terms and Conditions outline the agreement between JAW Healthcare t/a OT CPD (“we”, “us”, “our”) and "you", (the client). By engaging with our services, you agree to the following terms.

 

By signing up to the OT CPT Training Vault, you agree to the following terms and conditions:


1. Free Trial & Subscription

  • New      users are entitled to a 14-day free trial with full access to the      OT CPT Training Vault.
  • After      your 14-day trial ends, your subscription will automatically continue at a      monthly fee of £5, unless cancelled.
  • Payment      will be collected via the method you provided at checkout, on a recurring      monthly basis.


2. Access and Features

  • Your subscription gives you access to the full Training Vault, including:
  • CPD-accredited webinars (on demand)
  • Product training videos
  • Supplier chat function
  • CPD points awarded automatically upon completion of recorded content
  • Access to our OT community forum and networking tools


3. Cancellation

  • You can cancel at any time, and there is no long-term contract.
  • To avoid being charged for the following month, cancellations must be made in writing to info@otcpd.co.uk at least 5 days before your next payment is due.
  • To cancel, simply log into your account and follow the cancellation      instructions, or contact our support team.


4. No Refund Policy

  • Please note that we do not offer refunds for partial months or for cancellations made less than 5 days before the next billing date.


5. Account Responsibility

  • Each account is for individual use only. Please do not share your login      details.
  • We reserve the right to suspend or cancel accounts where misuse or      unauthorised access is detected.


6. Changes to the Service

  • We may occasionally update or improve the content, functionality, or terms of      this service. Users will be notified in advance of any significant changes.
